澳大利亚的动产抵押法 (Personal Property Securities Act 2009) (简称PPSA)自2012年实施以来,已对商业领域,特别是融资抵押业务造成了深远的影响。但是遗憾的是,依然有许多企业,特别是华人企业,对PPSA并没有足够的认知,将企业的合法权益置于风险中,并极有可能造成不必要的财产损失。 顾名思义,动产抵押法对商业活动中的不动产以外的资产抵押担保作出了一系列的规定,通过在动产抵押登记处 (PPSR) 注册的先后顺序,以及资产抵押的性质,对各债权人抵押权益的优劣先后做出判定。 举个浅显例子。一家供应商A长期提供零件给零售商B,并规定在货款缴清之前,所有零件依然归A所有,或者将零件作为未清货款的抵押物。如果A未能在法定时限内在PPSR注册登记,那么一旦B进入任何破产程序(Administration / Receivership / Liquidation),A已经提供的零件将完全归B所有。A也不能依照合同条款,取回未售出的零件,或者对已售出的零件但B尚未支付给A的货款有任何优先权。 PPSA的应用不仅限于以上传统意义上的资产抵押,更延伸到资产租赁,后者被PPSA视作实际抵押。如果资产租赁方未能在法定的时限内在PPSR注册登记,那么租赁方在承租方进入任何破产保护时也将失去资产的所有权。 在Forge Group Power Pty […]
